1. Who you are contracting with

Learn with JP is operated by Learnwith ("we", "us", "our"). These Terms & Conditions form an agreement between you and Learnwith covering the Learn with JP website, lessons, practice audio and video, and live group sessions (together, the "Service"). If you accept these terms for an organisation, you confirm you have the authority to bind it. If you use the Service as an individual, you confirm you are of legal age in your country.

2. Acceptance

By creating an account, purchasing a plan, or continuing to use the Service, you agree to these terms. If you do not agree, please stop using the Service.

3. What we provide

Learn with JP offers English practice material for everyday and workplace situations, including recorded lessons, dialogues, quizzes, and optional live Zoom or phone practice. Learn with JP is a practice service, not an accredited English school. We do not issue diplomas, certificates, or any qualification.

4. Your account

Keep your login details confidential. You are responsible for everything done through your account. Give us accurate information and keep it up to date.

5. Acceptable use

You must not:

• use the Service for anything unlawful, fraudulent, or abusive;
• send spam or harass other learners or instructors;
• infringe anyone's intellectual property;
• upload malware, probe or interfere with our security, or scrape the Service;
• share, resell, or redistribute lessons, recordings, or live session access;
• reverse engineer the Service or bypass technical limits or paywalls.

6. Intellectual property

Learnwith owns the Service and all material in it — lesson content, audio, video, software, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service for your own learning within the plan you bought. Anything you submit (messages, recordings) stays yours; you grant us a limited licence to host and process it so we can run the Service.

7. Service level

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim implied warranties including merchantability and fitness for a particular purpose.

8. Payment and subscriptions

Plans are billed as a recurring monthly subscription and renew automatically until cancelled. You can cancel at any time and keep access until the end of the period you already paid for. Payment, billing, tax, cancellation, and refund mechanics are handled by Paddle and governed by the Paddle Buyer Terms. See our Refund Policy for our refund window.

9. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Suspension and termination

We may suspend or end your access for material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. When access ends you can ask us to export your account data within 30 days, after which we may delete it.

11. Liability

We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Our total liability is capped at the fees you paid in the 12 months before the claim. Nothing here limits liability for fraud, death, or personal injury where the law does not allow it. You indemnify us against claims arising from your content, unlawful use, or breach of these terms.

12. Safety content disclaimer

Workplace and safety examples are language-practice material only. They do not replace your employer's safety training, procedures, or legal obligations.

13. Other terms

You may not assign this agreement without our consent; we may assign it in a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. These terms are governed by the laws of the United States and the state where Learnwith is established, and disputes go to the courts of that place. We may update these terms and will post the new version here.
